1. License to Use Templates
When you purchase a Chum Chat template ("Product"), you are granted a non-exclusive, non-transferable license to use, modify, and deploy the template for your own business purposes, subject to your chosen pricing tier:
- Starter & Growth Tiers: You are purchasing access to isolated deployments hosted on our infrastructure. You may modify the code via the provided interfaces, but you may not resell the raw underlying template architecture.
- Enterprise Tier: You receive a self-hosted license and full source code access. You are permitted to white-label the software and resell access to your own clients. However, you may not redistribute or sell the source code itself to other developers as a competing product.
2. Acceptable Use and Content Independence
Because Chum Chat provides open-source style templates that may be self-hosted, we do not inherently monitor, endorse, or accept liability for the content generated, hosted, or transmitted safely by instances deployed on your own infrastructure.
- You agree not to use our specific Nexus-hosted infrastructure for any illegal activities, malware distribution, or activities that violate the Acceptable Use policies of our upstream providers (e.g., AWS, DigitalOcean, Stripe).
- If you purchase adult-oriented templates (e.g., the "Flame" vertical), you are solely responsible for ensuring your deployed instance utilizes compliant age-verification mechanisms and adheres to all local obscenity and record-keeping laws.
3. Billing and Subscriptions
Certain aspects of our Services require recurring subscriptions (e.g., Nexus hosting, AI API routing).
- You agree to provide accurate payment information.
- Subscriptions auto-renew until cancelled. You may cancel at any time, but we do not provide prorated refunds for mid-billing cycle cancellations.
- If a payment fails, our automated systems may suspend your deployed instance until the balance is resolved.
4. Disclaimer of Warranties
The Services, including the AI templates and the automated deployment tools, are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not guarantee that the software will be error-free or that the AI models will always produce accurate or acceptable outputs.
5. Limitation of Liability
To the maximum extent permitted by law, Chum Chat and its developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising out of or related to your use of the templates, deployment failures, or AI-generated output.
6. Indemnification
You agree to indemnify and hold Chum Chat harmless against any claims, losses, or damages arising out of your specific use of the software, your modification of the code, or your users' interactions with your deployed instances.
7. Modifications to the Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms. Your continued use of the Services signifies your acceptance of the updated Terms.
